Welcome to CarpeDiem Search (the "Service"), available at https://carpediemsearch.app/ and operated by Carpe Diem Tours ("Company", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Purpose and Scope of the Service

CarpeDiem Search is an internal tool provided by Carpe Diem Tours to its employees and other authorized users. It is designed to:

• Authenticate users via Google Sign-In
• Provide search functionality over internal company content using Vertex AI Search and related technologies
• Facilitate access to information you are already authorized to see under existing company permissions

The Service is not intended for public or consumer use and may only be used in connection with your role and responsibilities for Carpe Diem Tours (or as otherwise authorized by us).

2. Eligibility and Access

You may use the Service only if:

• You have been expressly authorized by Carpe Diem Tours (for example, as an employee, contractor, or other permitted collaborator), and
• You access the Service using a Google account that has been approved or whitelisted by the Company.

We may revoke or limit your access to the Service at any time, with or without notice, in our sole discretion.

3. Accounts and Google Sign-In

3.1 Authentication

The Service uses Google Sign-In (OAuth) for authentication. You must:

• Use only your own Google account
• Keep your Google account credentials secure
• Notify internal IT or your administrator immediately if you suspect compromise of your account

We do not receive your Google password. Authentication is processed by Google.

3.2 Account Responsibility

You are responsible for:

• All activity that occurs under your account while using the Service
• Complying with all internal Company policies and these Terms when using the Service
• Logging out or securing your device when not in use, where appropriate

Misuse of your account or unauthorized access may lead to disciplinary action and/or termination of access.

4. Use of the Service

4.1 Permitted Use

You may use the Service solely to:

• Search and access internal Company content that you are authorized to view
• Perform tasks related to your job responsibilities or other duties approved by the Company
• Contribute to and support Company operations in accordance with internal policies

4.2 Prohibited Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose
• Attempt to access data or resources you are not authorized to view
• Circumvent or attempt to circumvent any access controls, security features, or permissions
• Reverse engineer, decompile, or attempt to extract source code or underlying models (except where allowed by law and internal policy)
• Introduce malware, viruses, or other harmful code
• Use the Service in a way that interferes with or disrupts the infrastructure, networks, or other users
• Use the Service to store, process, or transmit personal data that is unrelated to Company business without authorization

We may monitor usage to ensure compliance with these Terms and with internal security policies.

5. Company Content and Intellectual Property

5.1 Company Content

The Service provides access to Company-owned or Company-controlled content, including but not limited to documents, data, files, messages, and knowledge bases (collectively, "Company Content").

• Company Content is confidential and may be subject to internal policies, NDAs, and other obligations.
• Your access to specific content is governed by existing permissions and policies (e.g., Google Drive permissions, internal data access rules).

5.2 Ownership

Except where explicitly stated otherwise:

• All Company Content, the Service, and all related software, interfaces, designs, and documentation are owned by Carpe Diem Tours or its licensors.
• You receive no ownership rights in the Service or Company Content.
• You receive a limited, non-exclusive, non-transferable right to use the Service for authorized Company purposes only.

5.3 User Contributions

If you provide feedback, suggestions, or feature ideas relating to the Service ("Feedback"), you agree that:

• The Company may use, modify, and incorporate such Feedback without obligation or compensation to you.
• You assign to the Company any rights you may have in such Feedback, to the maximum extent permitted by law.

6. AI and Search Results

6.1 Nature of AI-Generated and Search-Based Output

The Service uses Vertex AI Search and possibly other AI technologies to surface and summarize Company Content. As a result:

• Search results and AI-generated outputs may be incomplete, outdated, or inaccurate.
• The Service may infer information or generate summaries that are not fully verified.
• You should treat results as informational only, not as definitive or authoritative.

6.2 Your Responsibility

You are responsible for:

• Verifying critical information using primary sources or internal subject matter experts
• Applying professional judgment when relying on search results or AI-generated outputs
• Using the Service in accordance with all applicable laws and Company policies (including privacy and confidentiality obligations)

The Company is not responsible for decisions or actions you take based on the outputs of the Service.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information.

By using the Service, you acknowledge that you have read and understood the Privacy Policy.

8. Service Availability and Changes

8.1 Availability

We strive to keep the Service available and performant but:

• We do not guarantee uninterrupted or error-free operation.
• The Service may be temporarily unavailable due to maintenance, upgrades, or technical issues.

8.2 Modifications

We may, at any time and without prior notice:

• Add, change, or remove features
• Modify the design, layout, or underlying technologies
• Discontinue all or part of the Service

Where feasible, we will provide reasonable notice of material changes affecting users.

9. Termination and Suspension

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to:

• Violation of these Terms
• Violation of internal Company policies
• Security or operational concerns
• Changes in your employment or contractual relationship with the Company

Upon termination of your access:

• Your right to use the Service immediately ceases
• The Company may retain logs and data as described in the Privacy Policy and internal policies

Nothing in these Terms limits the Company's ability to take additional action under employment, contractual, or other applicable laws.

10. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results

The Company does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Any defects or errors will be corrected
• The information obtained through the Service will be accurate, complete, or current

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Carpe Diem Tours or its directors, officers, employees, or agents be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, or goodwill
• Any damages related to your access to, use of, or inability to use the Service

even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded but can be limited, our total liability arising out of or in connection with the Service shall be limited to the extent permitted by law and by relevant internal policies.

12. Indemnification

To the extent permitted by applicable law and internal policy, you agree to:

• Use the Service in compliance with these Terms and all relevant Company policies
• Be responsible for any misuse or unauthorized use under your account

If your misuse causes harm or legal exposure to the Company, you may be subject to appropriate internal action consistent with your employment or contractual terms.

13. Governing Law and Dispute Resolution

These Terms and your use of the Service are governed by the laws applicable to Carpe Diem Tours' main place of business (or as otherwise specified in your employment or service agreement), without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service:

• May be handled in accordance with internal Company procedures (e.g., HR, Compliance, or Legal processes), and/or
• Will be subject to the dispute resolution mechanisms set out in your employment contract, contractor agreement, or other applicable agreements.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last updated" date at the top of this page, and
• Where appropriate, notify users via internal communication channels or within the Service

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
